Definitions

"Trinium Labs" refers to the company providing the affiliate program.

"Affiliate" refers to you, the participant in the affiliate program.

"Platform" refers to Trinium Labs' products and services.

"Free Account" refers to the no-cost version of Trinium Labs' service.

"Pro Account" refers to the paid, premium version of Trinium Labs' service.

Account Types and Commission Structure

a. Account Types

Trinium Labs offers two types of accounts:

Free Account: A no-cost version with limited features

Pro Account: A paid, premium version with full feature access

b. Commission Eligibility

Affiliates earn commissions on:

Direct referrals to Pro Accounts

Conversions from Free Accounts to Pro Accounts, when the initial Free Account was referred by the Affiliate

c. Commission Rates and Payments

Standard commission rate: 40% of the recurring monthly revenue from each Pro Account

Commissions are paid monthly for as long as the referred user maintains an active Pro Account

Commission rates are subject to change at Trinium Labs' discretion

Custom commission rates may be offered for specific referral commitments, subject to Trinium Labs' discretion

Successful Referrals and Tracking

a. Successful Referral Definition

A successful referral is defined as:

Non-fraudulent

Active Pro Account for a minimum period of thirty (30) days

Fully paid for services

Initially directed to Trinium Labs through the Affiliate's tracking link (applies to both immediate Pro sign-ups and Free-to-Pro conversions)

b. Tracking and Attribution

Affiliate links are tracked for 365 days

If a user signs up for a Free Account through an affiliate link and later upgrades to a Pro Account within the 365-day period, the Affiliate will receive commission on the Pro Account subscription

Payout Terms

a. Payout Schedule

One pay period per month, lasting 30 days

Commissions are paid after a 30-day maturation period following the end of each pay period

Trinium Labs reserves the right to hold commissions for up to 60 days for verification

b. Commission Holds and Cancellations

Trinium Labs may hold commissions for up to 60 days for verification on a case-by-case basis

Trinium Labs reserves the right to claw back or cancel any commission if:

Funds cannot be collected from the end user

The order is found to be fraudulent

The customer cancels their Pro Account and is refunded

The commission was earned improperly through any means

Cancelled commissions cannot be reinstated

Commission cancellations will be documented upon Affiliate's request

c. Verification and Discretionary Actions

Trinium Labs will evaluate each Pro Account subscription to assert its validity

If unable to verify a Pro Account subscription within the hold period, Trinium Labs may, at its sole discretion:

Cancel the Affiliate's commission

Cancel the Pro Account subscription

All decisions regarding commission payouts are at Trinium Labs' sole discretion

Affiliate Obligations

Accurately represent both Free and Pro Account options in promotional activities

Comply with all applicable laws and regulations in promotional activities

Maintain up-to-date contact and payment information in the Affiliate dashboard

Program Control and Modifications

Trinium Labs maintains complete control over all aspects of the Affiliate Program

Trinium Labs reserves the right to modify any part of the program, including commission rates, tracking methods, and payout structures, without prior notice

Continued participation in the program after any changes constitutes acceptance of modified terms

Term and Termination

Trinium Labs may terminate or suspend an Affiliate's participation in the program at any time, for any reason, with or without notice

Upon termination, Affiliate forfeits rights to any future or unpaid commissions, regardless of when the referrals were made

Disclaimers and Limitations of Liability

The Affiliate Program is provided "as-is" and "as-available"

Trinium Labs makes no warranties regarding the program's availability, accuracy, or financial benefits

Trinium Labs' liability is limited to the total commissions paid to the Affiliate in the preceding month
